Terms of Service

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND SPENDAILY ("SPENDAILY", "WE", "US", OR "OUR") GOVERNING YOUR USE OF THE SPENDAILY APPLICATION, WEBSITE, AND RELATED SERVICES (COLLECTIVELY, THE "SERVICES"). TO AGREE TO THESE TERMS, CLICK "AGREE." IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CLICK "AGREE," AND DO NOT USE THE SERVICES.

You must be at least 13 years of age (or the equivalent minimum age in your country) to create an account and use the Services. Children under the age of 13 may not create a Spendaily account.

The Services are available to you only for personal, non-commercial use. You agree to use the Services only for purposes permitted by these Terms and any applicable law, regulation, or generally accepted practice in your jurisdiction.

Spendaily is a manual-entry daily budgeting tool. It does not connect to your bank, brokerage, or other financial accounts. The Services are provided for informational and budgeting purposes only and do not constitute financial, tax, legal, or investment advice.

Spendaily provides software and content that allow you to track daily spending, set budgets, manage savings goals, and view related insights. We may offer the Services through a variety of platforms, including iOS and the web at www.spendaily.com.

To use the Services, you need compatible hardware, software (latest supported version of iOS recommended), and internet access for some features. The performance of the Services may be affected by these factors.

Updates. From time to time we may update the Services, including to add new features or to improve performance, security, or compatibility. You agree to receive such updates as part of your use of the Services. We may also stop providing the Services, or any feature within the Services, at any time.

As a registered user of the Services, you must establish an account. You may create an account using an email address and password, Sign in with Apple, or Google OAuth. Don't reveal your account information to anyone else. You are solely responsible for maintaining the confidentiality and security of your account and for all activities that occur on or through your account, and you agree to immediately notify Spendaily of any security breach of your account.

You must:

• Be at least 13 years old (or the local minimum age) to register an account.

• Provide accurate, current, and complete information when registering.

• Verify your email address using the 6-digit code we send when required.

• Maintain only one Spendaily account per person.

Spendaily shall not be responsible for any losses arising out of the unauthorized use of your account resulting from you not following these rules.

Your use of the Services is subject to Spendaily's Privacy Policy, which is available at https://www.spendaily.com/privacy-policy and is incorporated into these Terms by reference.

We do not connect to your bank or financial accounts. All financial entries you make are entered manually by you. We will never sell your personal data to third parties.

The Services may include automatically-renewing subscriptions ("Subscriptions"). Spendaily currently offers the following Premium Subscriptions through the Apple App Store:

• Monthly Premium: £3.99/month, with a 3-day free trial available to first-time monthly subscribers only.

• Yearly Premium: £38/year.

Billing. Payment will be charged to your Apple ID account at the confirmation of purchase. Subscriptions automatically renew at the same price and duration unless cancelled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

Managing Subscriptions. You can review, manage, and cancel your Subscription at any time from the Settings of your Apple ID (Settings → [your name] → Subscriptions → Spendaily). Cancellation of the current active Subscription period is not allowed; you may cancel auto-renewal so the Subscription does not continue beyond the current paid period.

Free Trials. Where offered, free trial periods convert automatically to a paid Subscription unless cancelled before the trial ends. Each user is eligible for a free trial only once per Subscription type.

Promotional Codes & Referrals. Spendaily may offer promotional codes and referral codes that grant a limited period of Premium access (for example, 14 days of free Premium per referral, with a maximum of 5 redemptions per code). Promotional access is non-transferable, has no cash value, and may be modified or revoked at any time.

Price Changes. Prices for Subscriptions, including recurring Subscription fees, may change from time to time. Where required by law, we will notify you of price changes in advance and seek your consent to continue.

Refunds. All charges are processed by Apple under the App Store's terms. Refund requests must be submitted to Apple via reportaproblem.apple.com. Spendaily cannot directly issue refunds for App Store purchases.

If you reside in the United Kingdom or the European Union, you may have a statutory right to withdraw from a purchase of digital content within 14 days of the purchase date, without giving any reason.

You acknowledge and agree that, by starting to use the digital content of a Subscription (including beginning a free trial that converts to a paid Subscription) before the end of the 14-day cancellation period, you lose your right to cancel under that statutory right. Subscriptions purchased through the Apple App Store remain subject to Apple's refund policies.

The Services may allow you to submit information such as transaction notes, category names, savings goals, profile information, and feedback ("Submissions"). You retain all ownership rights in your Submissions.

By making a Submission, you grant Spendaily a worldwide, royalty-free, non-exclusive licence to use, host, store, reproduce, and display that Submission solely to operate, maintain, and improve the Services for you.

You agree that any Submissions you make:

• Will not be unlawful, harmful, threatening, abusive, defamatory, or invasive of another's privacy;

• Will not infringe the intellectual property rights of any third party;

• Will not contain malware, viruses, or other harmful computer code; and

• Will not be used to harass, defraud, or impersonate another person.

We reserve the right (but have no obligation) to monitor, review, or remove Submissions at our discretion, and to terminate accounts that violate these rules.

The Services may display, include, or make available third-party content (including data, information, applications, and other products or services) or provide links to third-party websites or services ("Third Party Materials"). You acknowledge and agree that Spendaily is not responsible for Third Party Materials, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof.

This includes, without limitation, sign-in services such as Apple, Google, payment processing through the Apple App Store, and any analytics or crash-reporting providers we engage. Your use of such third-party services may be subject to additional terms imposed by the relevant provider.

You agree that the Services, including the Spendaily app, the Spendaily website, the brand name "Spendaily", the Spendaily logo, all underlying source code, designs, text, graphics, audio, video, articles, and the selection and arrangement thereof (collectively, the "Spendaily Content") contain proprietary information and material that is owned by Spendaily and/or its licensors, and is protected by applicable intellectual property and other laws, including but not limited to copyright.

You agree that you will not use such Spendaily Content in any manner whatsoever except for permitted use of the Services or in any manner that is inconsistent with these Terms or that infringes any intellectual property rights. No portion of the Services may be reproduced in any form or by any means, except as expressly permitted in these Terms. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Services in any manner, and you shall not exploit the Services in any unauthorized way whatsoever, including, but not limited to, by trespass or burdening network capacity.

Notwithstanding any other provision of these Terms, Spendaily and its licensors reserve the right to change, suspend, remove, disable, or impose access restrictions or limits on any Services at any time without notice or liability to you.

Subject to your compliance with these Terms, Spendaily grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use one copy of the Spendaily application on a device that you own or control, solely for your personal, non-commercial use.

You may not, and you agree not to enable others to, copy (except as expressly permitted by this licence), decompile, reverse-engineer, disassemble, attempt to derive the source code of, decrypt, modify, or create derivative works of the Services or any part of the Services. Any attempt to do so is a violation of the rights of Spendaily and its licensors.

If you fail, or Spendaily suspects that you have failed, to comply with any of the provisions of these Terms, Spendaily, at its sole discretion, without notice to you may: (i) terminate these Terms and/or your account; and/or (ii) preclude access to the Services (or any part thereof).

Spendaily reserves the right to modify, suspend, or discontinue the Services (or any part or content thereof) at any time with or without notice to you, and Spendaily will not be liable to you or to any third party should it exercise such rights.

You may stop using the Services and terminate these Terms at any time by deleting your Spendaily account. To delete your account, open the app, go to Settings → Delete Account, and complete the 6-digit email verification. Account deletion is permanent and will remove all data associated with your account, except where we are required to retain certain information by law.

Termination of your account does not entitle you to a refund of any pre-paid Subscription fees, except where required by applicable law or as set out in Section F.

SPENDAILY DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT FROM TIME TO TIME SPENDAILY MAY REMOVE THE SERVICES FOR INDEFINITE PERIODS OF TIME, OR CANCEL THE SERVICES IN ACCORDANCE WITH THE TERMS OF THIS AGREEMENT.

YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES AND ALL CONTENT DELIVERED TO YOU THROUGH THE SERVICES ARE (EXCEPT AS EXPRESSLY STATED BY SPENDAILY) PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

IN NO CASE SHALL SPENDAILY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF ANY OF THE SERVICES OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

Nothing in these Terms shall exclude or limit Spendaily's liability for fraud, fraudulent misrepresentation, death or personal injury caused by its negligence, or any other liability that cannot be excluded or limited under applicable law.

Spendaily is a budgeting tool, not financial advice. You are solely responsible for any financial decisions you make. Consult a qualified financial professional before making important financial decisions.

BY USING THE SERVICES, YOU AGREE, TO THE EXTENT PERMITTED BY LAW, TO INDEMNIFY AND HOLD SPENDAILY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF THESE TERMS, YOUR USE OF THE SERVICES, OR ANY ACTION TAKEN BY SPENDAILY AS PART OF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THESE TERMS OR AS A RESULT OF ITS FINDING OR DECISION THAT A VIOLATION OF THESE TERMS HAS OCCURRED.

This means that you may not sue or recover any damages from Spendaily and its officers, directors, employees, agents, affiliates, contractors, and licensors as a result of its decision to remove or refuse to process any information or content, to warn you, to suspend or terminate your access to the Services, or to take any other action during the investigation of a suspected violation or as a result of Spendaily's conclusion that a violation of these Terms has occurred.

Spendaily reserves the right at any time to modify these Terms and to add new or additional terms or conditions on your use of the Services. Such modifications and additional terms and conditions will be effective immediately and incorporated into these Terms.

We will notify you of any material changes by posting the updated Terms at https://www.spendaily.com/terms-of-service and, where appropriate, by notice within the app or by email. Your continued use of the Services will be deemed acceptance thereof. If any change to these Terms is found to be invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions.

These Terms constitute the entire agreement between you and Spendaily and govern your use of the Services, superseding any prior agreements with respect to the same subject matter between you and Spendaily.

If any part of these Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

Spendaily's failure to enforce any right or provisions in these Terms will not constitute a waiver of such or any other provision. Spendaily will not be responsible for failures to fulfil any obligations due to causes beyond its control.

You agree to comply with all local, state, federal, and national laws, statutes, ordinances, and regulations that apply to your use of the Services. You may not use the Services in any way that violates applicable export-control laws.

Except to the extent expressly provided in the following paragraph, these Terms and the relationship between you and Spendaily shall be governed by the laws of England and Wales, excluding its conflicts of law provisions. You and Spendaily agree to submit to the exclusive jurisdiction of the courts located within England and Wales to resolve any dispute or claim arising from these Terms.

If you are a consumer based in the European Union, you may bring proceedings in the courts of the country in which you reside, and these Terms will not deprive you of any protection afforded to you by the mandatory laws of that country.
